These Terms and Conditions (“Terms”) form a legally binding agreement between Flowstack AI (“Flowstack AI,” “we,” “our,” or “us”) and the client (“Client,” “you,” or “your”) governing your access to and use of our website, systems, and services.

By accessing our website or using our services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, please do not use our services.

1. Agreement to Terms

These Terms, together with any service agreements, onboarding confirmations, or written communications agreed to during onboarding, constitute the entire agreement between you and Flowstack AI.

We may update these Terms from time to time. Updates will be posted on our website, and continued use of our services means you accept the updated Terms.

2. Access to Services & Client Data

Flowstack AI grants you a limited, non-exclusive, non-transferable right to access and use our services solely for your internal business operations.

You are responsible for:

Maintaining the confidentiality of your login credentials

All activity occurring under your account

You retain ownership of all data you provide to us (“Client Data”).
You grant Flowstack AI a limited license to use this data only as necessary to provide, operate, and improve our services.

Any system knowledge, workflows, or improvements developed through our AI and operational experience remain the intellectual property of Flowstack AI.

3. Intellectual Property

All software, systems, automation logic, workflows, designs, content, branding, and materials provided by Flowstack AI are owned by us and protected under applicable intellectual property laws.

You may not:

Copy, resell, sublicense, or redistribute our systems

Reverse engineer or attempt to extract our methods

Use our services to compete directly with Flowstack AI

4. Client Representations & Ethical Use

By using our services, you confirm that:

All information you provide is accurate and lawful

You have obtained proper consent from leads before contacting them

Your use of our services complies with applicable laws (including TCPA and privacy laws)

You will not use our services for spam, harassment, or illegal activity

We care deeply about ethical outreach and long-term reputation — misuse of our services is not permitted.

5. Registration & Account Security

You may be required to register an account to access our services.
You are responsible for safeguarding your account credentials and notifying us immediately of any unauthorized use.

We reserve the right to suspend or modify accounts that violate these Terms.

6. Confidentiality

Both parties may share confidential business, technical, or strategic information during the relationship.

Each party agrees to:

Protect confidential information with reasonable care

Use it only for purposes related to providing or receiving services

Not disclose it to third parties without permission

Confidentiality obligations survive termination of services.

7.Cancellation and Payment for Booked Appointments

Either party may choose to cancel or discontinue the Services by providing written notice to the other party.

Flowstack AI operates on a performance-based model, where fees are tied to appointments successfully booked through the Services. If the Services are cancelled or terminated for any reason, the Client agrees to pay for all qualified appointments that were booked prior to the effective cancellation date, in accordance with the pricing terms explained and agreed upon during the onboarding video call.

Flowstack AI does not charge for unbooked leads or failed attempts. Charges apply only to confirmed appointments generated by the system before termination.

This approach ensures fairness, transparency, and alignment between Flowstack AI and the Client, as payment is based on actual results delivered.

8. Service Termination

Either party may terminate services with notice.

Upon termination:

You remain responsible for payment on appointments booked before the termination date

Access to systems may be revoked

Confidentiality obligations remain in effect

9. Prohibited Activities

You may not:

Use the services for illegal or deceptive practices

Interfere with platform security or performance

Use automated scraping or unauthorized scripts

Harass or misuse communications with leads or staff

Violation may result in immediate suspension.

10. Warranties & Disclaimer

Flowstack AI provides services using reasonable skill, care, and industry best practices.

However, services are provided “as is”, and we do not guarantee:

Specific revenue outcomes

Conversion rates

Business success

Results depend on many external factors including lead quality, offer, and follow-up.

11. Feedback & Submissions

Any feedback or suggestions you provide may be used by Flowstack AI to improve services, without obligation or compensation.

12. Privacy & Data Protection

Your use of our services is governed by our Privacy Policy, which explains how data is collected, used, and protected.

By using our services, you consent to data processing in the United States.

13. Suspension or Termination by Flowstack AI

We may suspend or terminate access if:

These Terms are violated

Services are misused

Legal or ethical concerns arise

We aim to resolve issues fairly whenever possible.

14. Modifications & Service Availability

We may update, modify, or discontinue parts of our services as needed.
We are not liable for downtime caused by maintenance, updates, or external factors.

15. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.

16. Dispute Resolution

We encourage resolving disputes through good-faith communication first.

If unresolved, disputes may be resolved through binding arbitration or appropriate legal proceedings, as permitted by law.

17. Limitation of Liability

To the fullest extent permitted by law, Flowstack AI shall not be liable for indirect, incidental, or consequential damages.

Our total liability shall not exceed the amount paid by you in the three (3) months prior to the claim.

18. Indemnification

You agree to indemnify and hold Flowstack AI harmless from claims arising from:

Your misuse of services

Violation of laws or third-party rights

Unauthorized data use

19. Data Security

We apply reasonable administrative and technical safeguards to protect Client Data.
No system is 100% secure, but we take data protection seriously.

20. Electronic Communications

You consent to receive communications electronically and agree that electronic agreements and records are legally binding.

21. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control (e.g., outages, natural disasters, government actions).

22. Miscellaneous

These Terms represent the entire agreement.
If any provision is found unenforceable, the remaining sections remain valid.
No partnership or employment relationship is created.
